BINDING TERMS AND CONDITIONS

BETA TEST AGREEMENT
This Beta Test Agreement (the &ldquo;Agreement&rdquo;) is effective as of the date you accept this Agreement and is entered into by and between ESA Bilişim Elektronik Spor Anonim Şirketi ("Company"), a Turkish company registered to Istanbul Trade Registry with trade number of 150899/5 with registered address Maslak Mahallesi Ahi Evren Caddesi 42 Maslak Sitesi No:6/70 Sarıyer Istanbul Turkey and you, an individual ("Beta Tester", "you", "your") who has been invited to test a pre-release version of the gaming platform offered at <a href="https://ready2.gg">https://ready2.gg</a> ("Platform") by the Company for testing and feedback purposes before its official release to the public ("Beta Trial").&nbsp;
By accessing the Platform via invitation key provided to you or using any of the services that are related to or connected with the Beta Trial, you affirm that you have read and agree to comply with this Agreement, the Binding Terms and Conditions and the Privacy Policy.
RECITALS
WHEREAS, the Company is planning to launch a Beta Trial of the Platform where Beta Testers will be able to participate in esports games and tournaments; and
WHEREAS, the Company desires to provide Beta Tester with access to the Beta Trial of the Platform for the purpose of testing and evaluating the Platform, identifying and fixing any issues, bugs, or usability problems that may have been missed during the development process, as well as to collect feedback from Beta Users to improve the final product.
IT IS AGREED AS FOLLOWS:

<li>INVITATION KEY&nbsp;</li>
</ul>
&nbsp;
Beta Tester agrees to keep the invitation key confidential and not to share it with any third party. Beta Tester acknowledges and agrees that the invitation key is for its personal use only and may not be transferred or assigned to any other person or entity without the prior written consent of the Company. Company reserves the right to revoke the invitation key at any time for any reason.&nbsp;

<li>ACCESS TO THE PLATFORM</li>
</ul>
&nbsp;
Company grants to Beta Tester a non-exclusive, non-transferable, revocable right to use the Platform solely for Beta Trial and use from the acceptance date of this Agreement until the official release date of the generally available commercial version of the Platform subject to the term and conditions below. Company may vary the duration of the test period at any time and for any reason.

<li>FEEDBACK</li>
</ul>
&nbsp;
Beta Tester agrees to give the Company feedback, comments or enhancement suggestions on the Platform and hereby assigns to the Company all rights, title and interest to such ideas for enhancements, including any product enhancements developed as a result of such ideas. Beta Tester undertakes to deliver the financial right transfer documents / consent letters required to transfer financial rights of such intellectual properties to the Company in the widest scope permitted by the applicable law. Beta Tester agrees that the Company may use the Feedback for any purpose.

<li>CONFIDENTIAL INFORMATION</li>
</ul>

Beta Tester agrees that the Platform is the sole and exclusive property of the Company and includes valuable trade secrets and other intellectual property of the Company.
For the purpose of this Agreement, "Confidential Information" shall include any and all information, whether oral or written, disclosed by the Company to Beta Tester during the beta testing phase of the Platform, including but not limited to the Platform, its features and functionalities, and any data or information related to its development or operation.

Beta Tester agrees to maintain the confidentiality of all Confidential Information, whether in oral or written form, and not to disclose any Confidential Information to any third party without the prior written consent of Company. Beta Tester agrees to use Confidential Information only for the purpose of testing and evaluating the Platform and providing feedback to the Company.

<li>NO WARRANTY AND LIMITATIONS OF LIABILITY&nbsp;</li>
</ul>
&nbsp;
You acknowledge that the terms in Clause 16 (Disclaimer of Warranties and Force Majeure) and Clause 17 (Limitation of Liability) of the Binding Terms and Conditions apply to the Beta Trial and any related services.

<li>INDEMNITY</li>
</ul>
&nbsp;
Beta Tester agrees fully and effectively to indemnity and keep the Company indemnified from any losses, damages, claims, liabilities, costs or expenses (including legal fees) arising directly or indirectly from any breach of its obligations hereunder.

<li>TERMINATION</li>
</ul>
&nbsp;
Either party may terminate this Agreement at any time with or without reason by providing advance written notice. Upon any expiration or termination of this Agreement, the rights and accesses granted under this Agreement shall immediately terminate.&nbsp;
Upon termination of the Beta Trial phase or this Agreement, Beta Tester shall return all Confidential Information to Company, including any copies or extracts thereof, and shall not retain any such Confidential Information in any form. Termination of this Agreement shall not relieve Tester of its obligations of confidentiality and non-disclosure under this Agreement.

<li>ADDITIONAL TERMS AND PROVISIONS</li>
</ul>
&nbsp;
This Agreement shall be construed in accordance with and governed by the laws of Turkish Republic.Any dispute, controversy or claim arising out of or in connection with this Agreement or the breach, termination or invalidity thereof, shall be settled under the exclusive jurisdiction of Istanbul (&Ccedil;ağlayan) courts.&nbsp;
No amendment, modification or waiver of any provisions of this Agreement shall be effective unless made in writing and signed by the Company.
The failure to enforce at any time or for any period any one or more of the provisions of this Agreement shall not be a waiver of them or of the right at any time subsequently to enforce all terms and conditions of this Agreement.
